By hiring Azure Notions Limited you accept that you have read and understood the following Terms & Conditions and consent to be bound by their content. For the purpose of these terms ‘us’ ‘we’ ‘our’ shall mean Azure Notions Limited, ‘you’ ‘your’ ‘Client’ shall mean the person instructing us to provide our services.

1. Basis of the Agreement

Azure Notions Limited hereby consents to supply goods and to provide services to the Client and the Client consents to pay the price in accordance with these terms and conditions.

Azure Notions Limited may employ subcontractors to carry out any part of their obligations under this agreement at their sole discretion and may assign its rights and obligations under this agreement to any other party.

The Client may not assign their rights and obligations under this agreement without written consent of Azure Notions Limited.

2. The Client

The Client warrants that he/she is either the owner of the premises at which the services will take place and is entitled to commission the services without the consent of any third party, or otherwise has the necessary authorisation in place for the services to be carried out.

By commissioning Azure Notions Limited the Client confirms they have obtained any necessary permissions and/or licences required for the services to be carried out.

3. Cancellations & Postponements

Providing you cancel or postpone your appointment before 5pm, on or before the previous 3 working days to the scheduled start date, then no labour charges will apply. If you cancel or postpone after this time, or are not able to grant access to Azure Notions Limited (if they attend within the agreed time frames) then an administration charge equivalent to 60 minutes labour at the prevailing rate will be applied.

Azure Notions Limited may need to postpone a booked appointment due to reasons beyond our control. In these instances we will re-schedule the appointment as soon as conveniently possible for both parties.

Azure Notions limited shall not be held liable for any costs claimed by the Client in respect of the non attendance or late attendance on site of Azure Notions Limited, or for the late or non delivery of materials, or materials/goods which are faulty or incorrectly supplied by the Client.

4. Labour Rates and Charges

Azure Notions Limited charge on a fix price basis, which includes the materials stated on the quotations.

We charge Materials fees upfront usually 20% to 50% deposit and only ask for payment when the job has been completed in accordance with these terms and conditions. Sometimes, if a job spans the period of a few weeks, or more than one trade is involved then we may ask for a small payment after the first weeks work or a payment to cover the materials and first weeks labour prior to the scheduled start date.

The price you received via our quotation will be the amount you will pay on job completion. There will be no additional costs unless unforeseen circumstances arise and approval by the Client is granted.

Extras will be charged for at the going rates, added to final amounts on works completion.

5. Materials

Should Azure Notions limited be unable to carry out any work because of Client fault, due to unforeseen circumstances or circumstances which should of been discussed on initial quotation, then the costs of materials will be charged in full.

6. Payment for Services

Payment for goods & services provided by Azure Notions Limited are due immediately upon completion of job.

Azure Notions Limited may ask the Client for a cash/bank deposit in advance of the schedule start date as stated above. With advanced agreement we accept payment via BACS transfer, which is our preferred method of payment.

Azure Notions Limited reserves the right to increase the price of work if; the costs to Azure Notions Limited of supplying the goods and services increase due to any factor beyond the control of Azure Notions Limited, the Client changes the specification, the Client consents to any change in specification proposed by Azure Notions Limited, goods or services are required by the Client with exceptional urgency, the Client causes a delay or the Client fails to provide Azure Notions Limited with adequate accurate information or facilities.

7. Failure to Pay for Goods and Services

If a Client fails to make any payment when it falls due, Azure Notions Limited reserves the right to;

• Charge the Client statutory interest rates on the amount unpaid.
• Charge the Client for all reasonable costs and expenses (including legal costs and costs of any third party debt recovery service) Azure Notions Limited in the collection of any overdue amounts.
• There is a minimum standard administration charge of £50 whenever a Client fails to pay all monies due on the specific date stated on the invoice.
• Refuse to deliver or install any balance of goods or services, or guarantee any hitherto provided goods or services until payment is made in full.
• Recover materials purchased for, or on behalf of the Client. The Client accepts these materials remain the property of Azure Notions Limited until payment of any outstanding amounts have been received. In the event of dispute, the Client consents to allow access to the property to a company representative to retrieve all materials that remain the property of Azure Notions Limited.

Azure Notions Limited are happy to provide invoices for businesses and individuals; however, payment is due within the time-scales stated in these terms and conditions.

8. Limitation of liability

Azure Notions Limited does not accept liability for any injury to persons, domestic animals, livestock or birds, or any loss or damage to property or goods, unless due to our negligence. The Client must notify Azure Notions Limited of this damage, injury or loss in writing within 7 days of the incident along with dated evidence.

Azure Notions Limited shall not be held liable for any indirect or consequential loss, damage, cost or expense of any kind however caused, including without limitation any loss of income or profits.

Azure Notions Limited does not provide qualified telephone advice and does not accept liability for advice which the Client may claim to have received by telephone.

Where a specific risk has been identified by Azure Notions Limited and the Client advised, Azure Notions Limited shall not be liable for such risk or event and the Client consents to bear such risk.

Azure Notions Limited will not be liable for any delay to the provision of goods and services due to force majeure or any other event beyond its reasonable control.

Azure Notions Limited may terminate an agreement with a Client if the Client; becomes bankrupt, commits a material breach of their agreement, refuses to take delivery of goods, refuses to allow Azure Notions Limited to provide services at the time and date agreed, defaults in paying the price or any part of it, or when a job has been put on hold, materials have been purchased by us and we have received no correspondence from the Client within 5 working days.

In the event of a suspension Azure Notions Limited can demand to receive payment in advance of any part of the price as a condition of recommencing the work.

Azure Notions Limited may terminate an agreement at its discretion at any time via notice in writing to the Client. Upon termination of this agreement the Client consents to pay Azure Notions Limited all outstanding charges including goods supplied and any cancellation charges payable Azure Notions Limited suppliers and sub-contractors.

9. Complaints Procedure

Azure Notions Limited is committed to ensuring Clients are satisfied with their service/s received and we aim to deal with any Client queries as efficiently and amicably as possible. If you have any queries regarding the service you have received please contact us to discuss this. If the appropriate Azure Notions Limited representative is unavailable or unable to agree on a resolution Azure Notions Limited will escalate the situation to an official written complaint, referring it over to the company administrator who will formally begin proceedings to deal with your grievance in writing.
